Terms and Conditions

These Terms and Conditions ("Terms") govern the sale and supply of products by Clinicon Medical Ltd. ("Clinicon", "we", "us" or "our") to its customers ("Customer", "you" or "your"). By placing an order with us, you agree to be bound by these Terms. Please read them carefully.


1. About Us

Clinicon Medical Ltd. is a company incorporated in Hong Kong, supplying and distributing medical equipment, devices and consumables to hospitals, clinics, laboratories, universities, government departments and other healthcare providers.

3. Orders and Acceptance

3.1 An Order placed by you constitutes an offer to purchase Goods subject to these Terms.

3.2 An Order is only accepted, and a contract formed, when we issue a written confirmation (including by email) or dispatch the Goods, whichever occurs first.

3.3 We reserve the right to decline or cancel any Order, including where Goods are unavailable, where there is an error in pricing or product information, or where we are unable to verify the Customer's details.

3.4 Quotations are valid for 30 days from the date of issue unless otherwise stated and are subject to availability.

4. Products and Product Information

4.1 We take care to describe and present the Goods accurately. However, product images, specifications and descriptions are provided for general reference and may be subject to change by manufacturers without notice.

4.2 The Goods are intended for professional, clinical, laboratory or institutional use and must be used strictly in accordance with the manufacturer's instructions for use, labelling and intended purpose.

4.3 The Customer is solely responsible for satisfying itself that the Goods are suitable and fit for the Customer's intended purpose, and for the proper handling, storage, installation, operation and disposal of the Goods.

4.4 Nothing on our website or in our materials constitutes medical, clinical or professional advice.

5. Regulatory Compliance

5.1 We supply Goods in accordance with applicable Hong Kong laws and regulations, including, where applicable, the Medical Device Administrative Control System (MDACS) administered by the Department of Health and the Pharmacy and Poisons Ordinance (Cap. 138).

5.2 Certain Goods may be supplied only to qualified healthcare professionals, licensed institutions or authorised purchasers. We may require proof of eligibility before accepting an Order, and may decline to supply where eligibility cannot be established.

5.3 The Customer is responsible for ensuring that its purchase, possession and use of the Goods complies with all laws and regulations applicable to the Customer.

6. Pricing

6.1 Prices are quoted in Hong Kong Dollars (HK$) and, unless otherwise stated, are exclusive of delivery charges.

6.2 We reserve the right to amend prices at any time before we accept an Order. The Price applicable to your Order is the Price confirmed by us at the time of acceptance.

6.3 In the event of an obvious or manifest pricing error, we are not obliged to supply the Goods at the incorrect price and will notify you before processing the Order.

7. Payment

7.1 Accepted payment methods are bank transfer, cheque, FPS and cash.

7.2 For approved account customers, payment is due within 30 days of the date of our invoice unless otherwise agreed in writing.

7.3 We may require payment in full before dispatch for first-time customers or for certain Goods.

7.4 If any payment is not received by the due date, we reserve the right to (a) charge interest on the overdue amount at 2% per month, (b) suspend further deliveries, and (c) recover any reasonable costs of collection.

7.5 Title to the Goods remains with us until we have received payment in full. Risk in the Goods passes to the Customer on delivery.

8. Delivery

8.1 We deliver within Hong Kong. Deliveries outside Hong Kong are by prior arrangement only.

8.2 Free delivery is provided on orders over HK$500. We do not provide standard delivery for orders of HK$500 or below; where delivery of such orders is required, it may be arranged on a case-by-case basis at the applicable courier cost, which will be advised to you before the Order is processed.

8.3 Delivery dates and times are estimates only and are not guaranteed. We are not liable for delays in delivery caused by circumstances beyond our reasonable control.

8.4 You must ensure that someone is available to receive and inspect the Goods at the delivery address. If delivery cannot be completed due to your absence or refusal to accept, we may charge for re-delivery.

9. Inspection and Acceptance

9.1 You must inspect the Goods on delivery and check that they are correct, complete and free from visible damage.

9.2 You must notify us in writing of any shortage, incorrect Goods, or Goods damaged in transit within 7 days of delivery. If you do not notify us within this period, the Goods are deemed to have been accepted.

10. Returns and Defective Goods

10.1 If Goods are delivered defective, damaged or incorrect, we will, at our option and following verification, repair, replace or refund the affected Goods at no additional cost to you, provided you have notified us in accordance with Clause 9 (or, for latent defects, within a reasonable time of discovery and within any applicable manufacturer's warranty period).

10.2 To return Goods, please contact us at info@clinicon.com.hk or +852 2730 1883 to obtain return instructions. Goods returned without prior authorisation may not be accepted.

10.3 Returned Goods (other than defective Goods) must be unused, in their original and unopened packaging, and in a resaleable condition.

10.4 For reasons of safety, hygiene and product integrity, the following Goods cannot be returned or refunded unless they are defective:

10.5 Where a defect arises from misuse, improper storage or handling, failure to follow the manufacturer's instructions, unauthorised modification, or normal wear and tear, the returns remedy in Clause 10.1 will not apply.

11. Warranties

11.1 Goods are covered by the manufacturer's warranty (if any) applicable to those Goods. We will pass on the benefit of any such warranty to you to the extent we are able.

11.2 Except as expressly set out in these Terms and to the fullest extent permitted by law, all other warranties, conditions and terms, whether express or implied by statute, common law or otherwise, are excluded.

12. Product Recalls and Safety Notices

12.1 In the event of a manufacturer or regulatory recall, field safety notice or advisory affecting any Goods, you agree to cooperate with us and follow any instructions issued, including ceasing use and returning or quarantining the affected Goods.

12.2 You agree to provide reasonable assistance to enable us and the manufacturer to contact affected end-users where required.

13. Limitation of Liability

13.1 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot be excluded or limited under applicable law.

13.2 Subject to Clause 13.1, our total aggregate liability arising out of or in connection with any Order, whether in contract, tort (including negligence) or otherwise, shall not exceed the Price paid for the Goods giving rise to the claim.

13.3 Subject to Clause 13.1, we shall not be liable for any indirect, special or consequential loss, or for any loss of profit, revenue, business, goodwill or data.

14. Intellectual Property

All trademarks, brand names, product names and logos relating to the Goods or our business remain the property of their respective owners. Nothing in these Terms grants you any right or licence to use them.

15. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from causes beyond our reasonable control, including acts of God, epidemics, government action, transport disruption, or supplier or manufacturer failure.

16. Personal Data

We collect and handle personal data in accordance with the Personal Data (Privacy) Ordinance (Cap. 486) of Hong Kong. By placing an Order, you consent to our use of your data for the purpose of processing and fulfilling your Order and related communications.

17. General

17.1 Entire agreement. These Terms, together with any written quotation or confirmation issued by us, constitute the entire agreement between the parties relating to the supply of Goods.

17.2 Variation. We may update these Terms from time to time. The Terms applicable to your Order are those in force at the time the Order is accepted.

17.3 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force.

17.4 No waiver. Our failure to enforce any provision shall not constitute a waiver of that or any other provision.

17.5 Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

18. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Hong Kong, and the parties submit to the exclusive jurisdiction of the courts of Hong Kong.
